Japan Gold closes C$10.5M placements alongside US$25M alliance
Solidcore may earn stakes in five exploration areas, while a US$3 million royalty payment remains pending.

Japan Gold Corp. CVEJG OTCMKTSJGLDF said Wednesday, Sept. 23 that Solidcore Resources plc committed US$25 million of exploration spending under a new alliance, alongside C$10.5 million of equity placements that closed. The placement cash supports exploration of Japan Gold's 22 other projects, while the alliance covers five areas where Solidcore can earn stakes.
The CVEJG quote showed Japan Gold shares at C$0.08 at 3:45 p.m. EDT on Tuesday, Sept. 22, on the TSX Venture Exchange, before Wednesday's announcement. The page carried no Sept. 23 trading print when checked, so a postannouncement move was unavailable.
The placements disclosed Sept. 23 comprise C$9.5 million of units bought by Solidcore and C$1 million of common shares bought by Equinox Partners Investment Management, LLC, all at C$0.12 apiece, according to the company's Sept. 23 release. Japan Gold described the price as a 50 per cent premium to the market and put Solidcore's stake at 19.9 per cent on a partially diluted basis.
By Sept. 23, Equinox had also converted C$2.763 million of debentures into common shares, leaving Japan Gold debt-free, the company said. A separate US$3 million royalty sale to OR Royalties Inc. TSEOR NYSEOR remains pending, so that payment is not part of the placement cash already received.
Japan Gold's Sept. 23 release calls the package about C$50 million in committed capital. That figure combines spending pledged over time with placement cash already raised and a royalty payment still awaiting completion; the debt conversion did not add cash.
"We are aligned with Solidcore in our strategic vision, and we look forward to advancing multiple projects through committed, well-funded, staged exploration programs designed to identify significant long-term value," Japan Gold chairman and chief executive John Proust said in the release.
The debt conversion disclosed Sept. 23 included C$88,754 of accrued interest and produced 23,764,611 new common shares at C$0.12 each. At the stated C$0.12 price, the C$10.5 million of placements implies about 87.5 million additional units and shares.
The exploration agreement announced Sept. 23 covers five target areas and assigns C$35 million to exploration over 36 months. Completing that spending would allow Solidcore to earn 49 per cent in as many as five joint ventures.
Solidcore could raise its interest in a venture to 70 per cent by solely funding a pre-feasibility study within three years of that venture's formation. It could then reach 80 per cent by solely funding a bankable feasibility study within three years of completing the first study, according to Japan Gold.
At the bankable study stage, Japan Gold could fund its remaining 20 per cent through production. Its other choices are to sell half that holding and turn the remainder into a one per cent net smelter return royalty, or to sell its entire stake.
Japan Gold said the placement proceeds will support exploration of the 22 projects outside the alliance, increase drilling capacity and provide working capital. It also appointed two Solidcore nominees to its board as part of the transaction.
The royalty arrangement, announced Sept. 23, gives OR Royalties an additional 0.5 per cent interest across Japan Gold's properties for US$3 million. Japan Gold said the deal would raise OR's existing royalty interest to two per cent from 1.5 per cent.
Japan Gold expects the royalty sale to close no later than Nov. 4, 2026.
