Canuc Resources Corporation CVECDA OTCMKTSCNUCF said on Wednesday it had raised C$5.988 million through a private placement for East Sudbury engineering and exploration. Against the share count in its Oct. 9 presentation, the issue would increase outstanding shares by about 16.7 per cent before warrant exercises.
Shares fell 1.16 per cent to C$0.85 on the TSX Venture Exchange at 4 p.m. EDT on Wednesday, according to CVECDA.
Canuc issued 4.99 million units at C$1.20 each, with one common share and half a warrant per unit, in the Oct. 14 financing. Although the company reported closing, its release says final closing remains subject to TSX Venture Exchange acceptance.
The Toronto explorer plans to fund engineering studies supporting permits for bulk-sample gold mining near the historical Scadding mine, alongside drilling of iron oxide copper-gold targets at East Sudbury. It says seismic and gravity gradiometric surveys have been completed across the property.
"Our objective is to establish a pathway toward gold production that could provide a source of non-dilutive funding for continued advancement of the ESP and to reduce the Company’s reliance on future equity financing," chief executive Christopher Berlet said.
Canuc owns all of East Sudbury, which covers 20,078 hectares northeast of Sudbury, Ontario. Proceeds will also support exploration studies at its wholly owned San Javier silver-gold project in Sonora, Mexico.

The Oct. 14 proceeds round to the C$5.99 million in Canuc's headline. The unit price was about 41 per cent above the CVECDA closing share price at 4 p.m. EDT on Oct. 14, before assigning value to the attached warrant.
The Oct. 9 presentation lists 29.9 million common shares, the basis for the dilution comparison. The Oct. 14 release instead prints 29,049,563 shares outstanding without reconciling the difference, so the comparison is indicative rather than a confirmed ownership split after financing.
Each whole warrant from the Oct. 14 issue buys another share for C$1.80 for two years. Canuc can accelerate expiry if the share price's 10-day volume-weighted average exceeds C$2.40, leaving holders 30 days after the trigger to exercise.
Securities from the Oct. 14 placement carry a hold period of four months and one day after closing.
The release does not identify a broker, lead subscriber or allocation of the proceeds between engineering, drilling and Mexico. Canuc's October fact sheet says East Sudbury has no established mineral resource or reserve and cautions that identified mineralization may never become economic.
Canuc's October fact sheet schedules an East Sudbury resource calculation and bulk-sample mine plan for the fourth quarter of 2026.
