CNS drug specialist Jupiter Neuro signs MDMA deal with PharmAla Biotech

The pivotal agreement is valued at up to US$100 million

Jupiter Neurosciences Inc (NASDAQ: JUNS) has added a tightly controlled substance to its lineup of potential treatments for brain disorders.

The company, which pursues options for neurodegeneration, is now stepping into neuropsychiatric conditions through a new licensing agreement. On July 20, Jupiter executed a definitive licensing agreement, securing exclusive rights to develop, manufacture and commercialize ALA-002 in the United States from Pharmala Biotech Holdings Inc (CNSX: MDMA) (OTCMKTS: MDXXF).

Through the deal, valued at up to US$100 million, Jupiter is paying an upfront sum of roughly US$3.33 million followed by potential milestone payments tied to clinical progress, regulatory approval and future sales. PharmAla retains rights outside the United States and will supply the product.

PharmAla’s flagship ALA-002 drug, a patented formulation of MDMA with FDA Novel Chemical Entity status, will join Jupiter’s existing programme for Parkinson’s disease. The addition, joining Jupiter’s “JOTROL” therapeutic candidate for combatting neurodegeneration, intends to create a dual clinical-stage pipeline focused on tackling central nervous system challenges.

This move represents a notable expansion for Jupiter. It shifts the company from a single-programme focus to one that now addresses both neurodegenerative and neuropsychiatric areas. Neuropsychiatric conditions include disorders such as treatment-resistant PTSD, anxiety and depression, where current options often fall short for many patients. Executives describe the transaction as strategically aligned, though they note the early-stage nature of the programmes and the risks involved in clinical development. 

“This agreement broadens our strategic reach in CNS and brain plasticity,” said Jupiter Chief Business Officer Alison Silva in a press release.

MDMA stands apart from classic psychedelics such as psilocybin or LSD. While those substances often produce profound changes in perception and thought patterns, MDMA primarily heightens feelings of empathy, emotional openness and connection. Researchers explore it in controlled settings to support therapy for conditions linked to trauma and anxiety. It previously received FDA Breakthrough Therapy designation for treating post-traumatic stress disorder, signalling potential for expedited development.

The agreement arrives after a milestone executive order signed by President Trump at the White House in April. That directive encourages faster research and access pathways for investigational therapies like psychedelics and MDMA aimed at serious mental illness. It creates a policy backdrop that could influence how companies like Jupiter and PharmAla advance their work in this space.

As of Mar. 31, Jupiter held US$2.36 million in cash and US$3.41 million in total current assets, but carries approximately US$6.73 million in total liabilities, indicating a tight financial position. PharmAla, by contrast, reported Q2 revenue of US$220,584 and a reduced net loss of US$337,696, with growing customer deposits and an operational focus in Australia supporting its financial trajectory.
