Glass House Brands Inc (OTCMKTS: GLASF) (FRA: 4KF0) and Vireo Growth Inc (OTCMKTS: VREOF) (CNSX: VREO) (FRA: 0ZF) have combined their California dispensary operations into a joint venture to navigate the state’s turbulent industry waters together.
Announced on Apr. 13, the 50-50 partnership creates a single retail platform that links 23 stores — 11 from Glass House and 12 from Vireo. It will also integrate Vireo’s home-delivery service it obtained through the acquisition of Eaze earlier this month.
Each company is transferring its licenses and locations for equal ownership. Cory Azzalino, Vireo’s president of California operations and Eaze CEO, takes the helm as chief executive of the new entity and will steer day-to-day management and future acquisitions.
Glass House runs stores under the Farmacy, Natural Healing Center and The Pottery banners in cities from Santa Barbara and Berkeley to Los Angeles and the Central Valley. Several locations function as community hubs with consumption lounges, senior shuttles and staff-led education sessions.
Vireo, founded in 2014 as a medical-cannabis operator, brings retail depth and technology-driven delivery that reaches neighbourhoods without nearby storefronts. The deal pairs Glass House’s production know-how and brands such as Glass House Farms, PLUS Products, Allswell and Mama Sue Wellness with Vireo’s retail and delivery operations.
California legalized medical marijuana in 1996 through Proposition 215 and opened recreational sales after voters approved Proposition 64 in 2016. The state decriminalized small possession in 2010 and now hosts hundreds of licensed dispensaries in the world’s largest legal cannabis market. Adults 21 and older may buy up to one ounce of flower or eight grams of concentrates per visit.
Since 2018, the state has generated nearly US$8 billion in cumulative tax revenue from the industry. California’s sector supports approximately 75,000 jobs.
Despite this legal landscape, licensed retailers still compete against unlicensed sellers and navigate steep taxes and tight local rules.
“Together with Vireo, we have found a way to mitigate difficult California pricing dynamics and enhance the value of our retail operations without broadening the focus from Glass House’s primary goal of seeking out and selling our biomass into new legal markets outside the state,” said Glass House co-founder Kyle Kazan in a press release.
