Quanome Technologies reports first XDT AI order above US$100M

The 60-month term starts at service readiness; a separate 32-server purchase is priced at approximately US$18.8M.

A first enterprise order carries a total commitment value above US$100 million for an AI inference service that has yet to start, subject to service-start conditions. Quanome Technologies, Inc. NASDAQQNME, a U.S. technology company developing managed AI capacity through its XDT subsidiary, said in an Oct. 8 release that XDT signed an initial 60-month customer order.

Quanome shares closed at US$0.83, up 43.28 per cent on Nasdaq at 4 p.m. EDT on Oct. 8, according to the NASDAQQNME quote on Google Finance. The close came after the company issued its customer release that afternoon, although the price alone cannot establish why each investor traded.

The order's 60-month term begins on the service-ready date, rather than on the Oct. 8 announcement. Quanome expects XDT to start serving the customer within approximately two months of that announcement, subject to service-start conditions. The Oct. 8 release does not report that customer billing has begun or disclose payments received under the order.

XDT will provide dedicated computing capacity remotely while operating the underlying systems for the customer, according to the release. In a separate transaction, Quanome agreed to buy 32 additional GPU server units for about US$18.8 million, expected at a designated U.S. data centre subject to commercial and operational conditions. The company gave no fixed delivery date for those units in the Oct. 8 release. The master services agreement provides the framework; the initial order supplies the stated customer commitment, and the release does not quantify any future orders.

Two Announced Purchases Cover 64 Servers

Quanome's Sept. 21 SEC filing describes a Sept. 16 agreement to buy 32 GPU server units for approximately US$18.8 million. Calling the Oct. 8 order for 32 units "additional" takes the two announced purchases to 64 servers at a combined stated price of about US$37.6 million. Those are purchase commitments, and neither the filing nor the Oct. 8 release says all the equipment has arrived or entered service.

The filing says Quanome must pay 20 per cent of the first order's price following acceptance of the purchase order and the remaining 80 per cent before shipment, subject to applicable delivery and other conditions. It lists Quanome's payments, supplier production and delivery, product registration and supply-chain requirements among the conditions for completion. The Oct. 8 release gives no comparable payment schedule for the additional 32 servers.

The first hub was expected to begin operating in the fourth quarter of 2026, subject to delivery and deployment, according to the Sept. 23 release. Mugglehead's earlier report on the first server order found no disclosed cloud customer at that stage. The new customer agreement supplies a contracted buyer, while the service-ready date still depends on deploying capacity.

"This first agreement marks important progress as XDT works to build long-term, recurring revenue from managed AI technology services," Quanome chief executive Yang Li said in the Oct. 8 release.

Loan Draws Require Chief Executive Approval

Quanome announced on Oct. 1 a revolving loan agreement with Li for up to US$15 million, with approved advances bearing six per cent annual interest. Each borrowing request requires his approval, the company said. The agreement is for working capital and general corporate purposes; the release does not assign its proceeds to either GPU purchase.

The audit committee reviewed and approved the related-party loan independently, and Li did not take part in its deliberations or vote, according to that Oct. 1 release. It does not state that the full US$15 million was drawn. The disclosed ceiling is smaller than either US$18.8 million equipment order, so the loan's availability alone does not establish that the purchases have been funded.

Service Readiness Starts the Five-Year Term

The Oct. 8 release does not identify a fixed delivery schedule, the GPU model, the number of chips in each new unit or the power capacity reserved for this customer. It also does not state a measured throughput or utilization rate for XDT. Quanome's forward-looking notice says there can be no assurance the GPU servers will arrive as expected, services will start on time or the order will generate its anticipated value.

The SEC submission record lists an Oct. 5 current report with Sept. 29 as its event date, preceding the Oct. 8 customer release. Thursday was the announcement date, not a stated signing date in that release. The next dated operating test is the fourth quarter ending Dec. 31, 2026, when Quanome expects its first U.S. hub to run; the service-ready date will determine when the 60-month commitment begins.
