Ballard completes £275M GeoPura hydrogen power acquisition

GeoPura produces green hydrogen using electricity-powered equipment called electrolyzers

Ballard Power Systems Inc. (NASDAQ: BLDP) (TSE: BLDP) has completed its £275-million acquisition of British hydrogen power provider GeoPura Limited.

Ballard announced the completed transaction on Friday, transforming the company from a fuel cell manufacturer into an integrated hydrogen energy provider. Additionally, Ballard gains GeoPura’s power systems, hydrogen production facilities and compressed hydrogen distribution fleet.

Founded in 2019, GeoPura supplies off-grid electricity through its Hydrogen Power Units. The units use Ballard fuel cell modules to convert hydrogen into electricity without producing exhaust emissions. They can replace diesel generators at construction sites, events and other locations without reliable grid connections.

Furthermore, GeoPura produces green hydrogen using electricity-powered equipment called electrolyzers. The company then transports the hydrogen through the United Kingdom’s largest compressed hydrogen distribution fleet.

Ballard said the combined business can offer customers complete energy services from hydrogen production through electricity generation. Consequently, customers can obtain equipment, fuel and logistics from one provider.

The transaction also expands Ballard’s European presence and creates opportunities to introduce GeoPura’s platform in North America. However, the company must convert that broader reach into revenue while pursuing sustainable profitability and growth.

Ballard paid £82.5 million in cash and issued 49,584,212 common shares as part of the upfront consideration. In addition, restricted share units will be settled after 12 months with another 1,084,540 Ballard shares.

Former GeoPura shareholders now control approximately 14.1 per cent of Ballard’s outstanding common shares. Ballard may also pay up to £27.5 million if GeoPura meets specified financial targets after closing.

Fuel cell generator sales could nearly triple by 2030

Chief Executive Officer Marty Neese called the acquisition an important step in Ballard’s development. He said the combined company can provide customers with one source for fuel cell technology and zero-emission power.

Meanwhile, GeoPura co-founder Andrew Cunningham has become Ballard’s president and will report directly to Neese. Cunningham said businesses increasingly need alternatives to fossil fuel generators and constrained electricity grids.

He added that the combined operation can support energy security while reducing local air pollution. Subsequently, Cunningham and former GeoPura chairman Lord Richard Harrington joined Ballard’s board as shareholder nominees.

The market for hydrogen fuel cell generators remains small but is growing quickly. MarketsandMarkets valued the global sector at approximately USD$630 million in 2025 and projected it to reach USD$1.8 billion by 2030.

That forecast represents annual growth of 23.3 per cent. The opportunity extends into the broader temporary-power market, where hydrogen systems can replace diesel generators. Grand View Research valued that market at USD$5.6 billion in 2024 and expects it to reach USD$9.2 billion by 2030. Construction, mining, utilities and events represent major customers, while data centres could create further demand for reliable backup power with lower emissions and noise.
