A US$90 million upfront package backs a search for solid-tumour treatments as Vir Biotechnology, Inc. NASDAQVIR announced a cancer collaboration with Gilead Sciences, Inc. NASDAQGILD on Wednesday.

The Oct. 14 announcement divides that consideration into US$65 million in cash and a US$25 million equity investment. Vir could also receive up to US$45 million upon achieving near-term preclinical milestones.

Vir is a clinical-stage biopharmaceutical company based in San Francisco, with programmes in infectious diseases and cancer.

Vir shares closed lower at US$10.41 on Nasdaq at 4:00 p.m. EDT on Oct. 14, according to Google Finance NASDAQVIR. The equity purchase remains subject to customary closing conditions. Vir's next disclosed oncology data window is the second half of 2026.

Vir will discover, design and optimize three development candidates using its PRO-XTEN masking technology and protein-engineering platform. Gilead receives an exclusive licence to nominate and advance candidates, then assumes responsibility for subsequent development, manufacturing and commercialization.

The SEC filing dates the agreements to Oct. 9. Gilead agreed to purchase 1,765,486 Vir shares at US$14.16 apiece, with standstill, voting and lock-up provisions generally lasting a year after anticipated closing.

Further payments of up to US$1.74 billion depend on development, regulatory and commercial milestones under the agreement entered into on Oct. 9. Vir would also receive tiered royalties ranging from high single-digit to low double-digit percentages of net sales.

The planned medicines would direct immune-system T-cells against cancer cells. Vir says the masks are designed to keep the molecules inactive until tumour-specific enzymes remove them, potentially limiting toxicity that has constrained T-cell engagers in solid cancers.

The release names neither the selected tumour antigens nor a date for clinical testing. The collaboration starts with discovery work, separate from Vir's existing clinical oncology portfolio.

"This collaboration with Gilead provides an opportunity to generate multiple differentiated candidates aimed at difficult-to-address solid tumors and to expand the potential impact of our science, while also advancing our own clinical oncology portfolio," Vir chief executive Marianne De Backer said.

Gilead's Trodelvy Sales Rose 26 Per Cent

Gilead reported US$457 million in Trodelvy sales for the second quarter of 2026, up 26 per cent from a year earlier. The company attributed the increase to higher demand.

ImmunityBio, Inc. NASDAQIBRX, another commercial-stage immunotherapy developer, reported FDA acceptance of an application to broaden Anktiva's bladder-cancer label in May. The FDA expanded that indication to include high-grade papillary-only disease on Oct. 14.

The State Street SPDR S&P Biotech ETF NYSEARCAXBI, a sector benchmark, stood at US$146.80 at 8:00 p.m. EDT on Oct. 13, according to Google Finance. That quote predates the collaboration announcement.

Vir's Existing Trials Supply The Next Catalysts

Vir's Aug. 5 financial update reported approximately US$1.01 billion in cash, cash equivalents and investments at June 30. Under its operating plans then, the company expected funding to last into the second half of 2028.

That runway projection preceded the Gilead agreement. The Oct. 14 release provides no revised runway endpoint or timetable for collecting the contingent payments.

The August update also scheduled Phase 3 ECLIPSE 1 topline results in chronic hepatitis delta for the fourth quarter of 2026. That trial belongs to Vir's existing registrational programme for elebsiran and tobevibart.

Vir expects updated Phase 1 VIR-5818 dose-escalation data in the second half of 2026, covering monotherapy and combination treatment with pembrolizumab. That readout will provide further patient evidence from its existing oncology pipeline.
