SEALSQ Corp closes US$10M WISeSat.Space PIPE with price protection

The Oct. 1 cash subscription issued 926,784 WISeSat shares at US$10.79; a November price test could add up to 1,073,216 shares.

A US$10 million investment in a newly listed satellite business could give an affiliated subscriber more shares if a 10-trading-day volume-weighted average ending Nov. 30 falls below the subscription price. SEALSQ Corp NASDAQLAES, the secure semiconductor and post-quantum technology supplier, said on Oct. 6 that it led a US$10 million private investment in public equity that closed on Oct. 1.

WISeSat.Space Holdings Corp. NASDAQSAIQ, the newly listed satellite communications company receiving the money, issued SEALSQ 926,784 ordinary shares at US$10.79 each, according to SEALSQ's Oct. 2 filing. The price equalled the cash redemption price paid to shareholders in WISeSat's merger with Columbus Acquisition Corp. The investment closed with that merger, before WISeSat began Nasdaq trading on Oct. 2.

WISeSat shares NASDAQSAIQ traded at US$5.07 as of 9:55:22 a.m. EDT Tuesday. They were down 23.99 per cent as of 9:55:22 a.m. EDT Tuesday on the same NASDAQSAIQ quote. SEALSQ shares NASDAQLAES stood at US$2.46, above the prior close, as of 9:50:35 a.m. EDT Tuesday.

WISeQey Corp. SWXWQEY NASDAQWQEY, the cybersecurity and digital identity holding company that succeeded WISeKey, owns subsidiaries on both sides of the deal. Its Oct. 5 group announcement identifies Carlos Moreira as chief executive of WISeQey, SEALSQ and WISeSat, making the PIPE a related-party transaction. The price-protection test is tied to the 60th calendar day after the Oct. 1 close, or Nov. 30.

SEALSQ Received Two Separate Share Blocks

The cash subscription is only one source of SEALSQ's new WISeSat stock. Its Oct. 2 filing says SEALSQ also received 1,040,478 WISeSat ordinary shares and an equal number of Class F shares in exchange for its existing stake in SpaceAIQ, the satellite business placed into the listed company. Those exchange shares did not represent a second US$10 million cash payment. The PIPE's 926,784 ordinary shares were issued separately.

SEALSQ's Aug. 18 filing described a US$10 million commitment under an agreement signed Aug. 6, with the final share count dependent on the redemption price at closing. Using a June 30 indicative redemption price of about US$10.66, the filing estimated 938,086 subscription shares. The eventual US$10.79 price yielded fewer shares for the same stated investment amount.

WISeQey's group release says it and SEALSQ are affiliated with WISeSat, while Moreira holds the top executive post at all three. That structure means the capital moved from one listed member of the WISeQey group into another; it was not a payment by an unrelated satellite customer. The release describes the planned collaboration between SEALSQ and WISeSat as another related-party transaction.

Additional Shares Depend On A November Price Test

The Oct. 6 SEALSQ release sets the trigger as a volume-weighted average over 10 consecutive trading days ending on the 60th calendar day after closing. SEALSQ may receive up to 1,073,216 additional WISeSat ordinary shares if that average falls below US$10.79. WISeQey's Oct. 5 group release also describes a US$5 floor under the subscription agreement.

At the ceiling, SEALSQ's PIPE allotment would rise to two million ordinary shares from the initial 926,784. If issued, the extra stock would increase the listed company's ordinary share count. SEALSQ's initial PIPE shares are also subject to lock-up restrictions under the agreement, although the announcement gives no release date for them.

The Oct. 6 intraday quote does not determine the later average. Ten trading-day prices and the agreement's floor will set the outcome, so the discount between the current quote and SEALSQ's purchase price cannot be translated into an additional share count today. The stated maximum is a possible issuance, not stock already delivered.

Investment Targets Satellite Security

SEALSQ says the new money is intended for WISeSat's planned satellite expansion and for integrating post-quantum cryptography across space, ground and user equipment. The release describes SEALSQ's planned contribution as secure semiconductors, cryptography and identity technology, with WISeSat providing satellite capacity and related infrastructure. These are stated development and service plans, rather than revenue from a named customer in the announcement.

"For WISeSat.Space, it provides capital to advance our next generation of satellites and to build post-quantum security into our space, ground and user segments," Moreira said in SEALSQ's Oct. 6 release.

Mugglehead's Oct. 2 account of WISeSat's listing reported that the original merger proposal contemplated at least US$10 million of investment from the parent group. The completion notices then available did not quantify cash received. SEALSQ's Oct. 6 announcement identifies the affiliated subscriber, closing date and PIPE price, while its SEC filing supplies the issued share count.

The Oct. 2 WISeKey half-year results story reported that the merger into British Virgin Islands successor WISeQey had become legally effective Oct. 1. WISeQey said on Oct. 5 that its new ordinary shares had begun trading as WQEY on Nasdaq and the SIX Swiss Exchange, putting the parent, semiconductor unit and satellite unit on separate public quotes after this affiliated investment closed.

The next contractual test arrives Nov. 30, the 60th calendar day after the Oct. 1 closing. The 10-trading-day average ending then will show whether SEALSQ receives additional WISeSat shares under the price-protection clause.
