Kenmare Resources plc confirms non‑binding cash takeover approach
International Resources Holdings must state whether it intends to bid by 5 p.m. GMT on Nov. 17 under Irish takeover rules.

Kenmare Resources plc LONKMR said on Tuesday it had received a non-binding proposal from International Resources Holdings RSC Ltd for a possible cash offer for its entire issued and to-be-issued share capital. Kenmare listed 89,228,161 issued ordinary shares as of Oct. 6, but the announcement gave no proposed price for holders to compare with their investment.
The company said talks with International Resources Holdings, known as IRH, are continuing, with no assurance that the approach will become a firm offer. Kenmare said IRH must declare a firm intention to bid or announce that it will not make an offer by 5 p.m. GMT on Nov. 17 under the Irish Takeover Rules.
Kenmare issued the statement after press speculation and said it did so without IRH's approval. The announcement was made under Rule 2.4, which Kenmare said is distinct from a Rule 2.7 statement of firm intention; it gave no cash price per share, board recommendation or agreement between the two parties.
Kenmare operates the Moma titanium minerals mine in northern Mozambique. Its July 16 production report said the mine shipped 277,700 tonnes of finished products in the second quarter of 2026, up 53 per cent from a year earlier. Ilmenite production fell 40 per cent to 147,200 tonnes over the same quarter.
At the Oct. 6 disclosure, Kenmare said 2,363,871 options were outstanding under its restricted share plan, including accrued dividend equivalents. That count sits alongside the issued shares in the company's capital structure. The possible offer refers to shares that may be issued, but Kenmare gave no proposed treatment of those options.
Kenmare's July 16 report put net debt at US$175.7 million at June 30. That compared with US$158.8 million at Dec. 31, 2025.
"Discussions with IRH are ongoing and there can be no certainty that a firm offer will be made, or as to the terms of any such offer, should one be made," Kenmare said in its Oct. 6 statement.
Kenmare's July 16 update said Moma shipped 555,600 tonnes in the first half of 2026, up 14 per cent year over year. The company revised its 2026 ilmenite production expectation to approximately 800,000 tonnes from more than 800,000 tonnes, while retaining shipments guidance of at least 1.1 million tonnes. Its operating performance will be updated before the deadline for IRH to state its intention.
Under the Irish rule cited by Kenmare, the Nov. 17 deadline can be extended only with the Takeover Panel's consent. If IRH instead announces it does not intend to make an offer, Kenmare said that announcement would be treated as a statement under Rule 2.8.
