The venture's first customer has paid an undisclosed deposit for Dallas GPU capacity expected to deploy in late December or early January.

A 36-month GPU reservation gives a new AI infrastructure venture its first contracted customer, with payment spread across the service term. Forum Markets, Incorporated NASDAQFRMM, an asset owner spanning AI infrastructure, aerospace and consumer finance, announced the approximately US$94.4 million agreement on Oct. 26.

Forum's SEC report says its Forum Edge AI LLC joint venture has signed a definitive agreement with Fireworks AI to reserve 96 enterprise AI servers in Dallas. Forum describes the combined value as GPU capacity fees plus associated CPU management node fees, rather than a payment received at signing.

Shares traded above their previous close at US$3.42 on Nasdaq at 3:09 p.m. EDT on Monday, according to NASDAQFRMM.

Fireworks has already provided a deposit, but Forum did not disclose its amount in the Oct. 26 release. Deployment of the B300 GPU capacity is expected in late December or early January, according to the announcement. Forum says the Dallas facility already has permits, power access and physical infrastructure.

The Deposit Offsets Future Fees

Forum calls the prepayment substantial and says it will be credited against fees due throughout the 36-month term. The deposit therefore forms part of the contract's payment arrangements; the release does not describe it as additional consideration above the headline value.

The Oct. 26 SEC submission attaches the announcement, not the customer agreement itself. The underlying agreement was not available among that submission's exhibits and was not read, so its detailed delivery obligations and payment protections cannot be checked against the announcement.

Neither the report nor the attached release specifies the deposit size, a monthly billing schedule, acceptance tests, service credits or termination provisions. The approximately US$94.4 million is consequently a reported total contract value, without a disclosed schedule showing when individual amounts become payable or recognizable as revenue.

Forum chairman and chief executive McAndrew Rudisill described the agreement as the venture's first finalized contract:

"This is the first finalized contract Forum Edge is executing against and the first of several exciting partnerships we expect to deploy into our unique footprint," Rudisill said in the release.

Fireworks is a privately held platform that helps enterprises customize AI models and run them in production. In its own July 15 financing announcement, Fireworks reported raising US$1.505 billion at a US$17.5 billion valuation and said the funding would help expand its compute infrastructure.

That announcement gives a dated account of the customer's financing, but it does not disclose the terms of this Dallas reservation. Forum's Oct. 26 announcement says GPU and CPU management node fees are payable over the 36-month term, with the deposit credited against those fees. It does not disclose a detailed billing schedule or termination provisions.

Forum Controls The Venture

The Dallas contract follows Forum's Oct. 5 announcement establishing the venture. Forum disclosed a 51 per cent interest, with infrastructure partner Edge Node Inc. holding the remaining 49 per cent, and said it expected to consolidate the venture's financial results. Forum was also named sole manager of the venture.

The launch announcement allocated 2 megawatts of Dallas capacity to the venture, alongside planned deployments in North Carolina and at a mobile communications tower. Forum said equipment purchases would use customer down payments and equipment financing, so customer cash is part of its stated equipment funding plan. The Oct. 26 announcement does not quantify how much of that funding the Fireworks deposit supplies.

Forum's Oct. 5 outlook projected consolidated revenue of US$125 million to US$175 million for 2027, including all venture revenue. That annual forecast covers the initial portfolio, while the Fireworks value covers one 36-month reservation; the two figures have different periods and scopes.

The wider Texas buildout includes Soluna Holdings, Inc. NASDAQSLNH, a developer of data centres for intensive computing. Its Oct. 21 announcement described a planned 50-megawatt critical IT project at Dorothy 3, the development covered in Mugglehead's earlier Texas partnership story. Planned site capacity and Forum's contracted server reservation measure different stages of the investment cycle.

Forum's Oct. 26 risk disclosure identifies equipment delivery, power availability and equipment financing among possible constraints. The next operational test is the Dallas GPU deployment expected in late December 2026 or early January 2027, when the venture must turn its first customer reservation into installed capacity.
