Cronos Group closes €57.5M CanAdelaar acquisition in the Netherlands

Cash earnouts tied to 2026 and 2027 earnings add to the base price for a grower supplying nearly all 69 shops in the Dutch pilot.

The Netherlands’ regulated cannabis pilot saw one of its growers change owners on Thursday in an acquisition with a €57.5 million base price. Cronos Group Inc. TSECRON NASDAQCRON now owns all shares of privately held CanAdelaar B.V., one of the programme’s 10 licensed growers.

Under the Oct. 15 closing announcement, closing and post-closing adjustments apply to the base price. Additional cash consideration equals half of CanAdelaar’s Normalized EBITDA, as defined in the purchase agreement, for each of 2026 and 2027.

Cronos is an international cannabis group based in Toronto, with branded adult-use and medical businesses serving Canada, Israel and European markets.

In Toronto, TSECRON closed 0.44 per cent lower at C$4.52 at 4:00 p.m. EDT on Wednesday, before the acquisition announcement.

Cash Earnouts Depend On Annual Earnings

The Dec. 9, 2025 agreement announcement specified cash payable at closing. Thursday’s release did not identify new financing or give a post-deal cash balance.

In its Aug. 6 results, Cronos reported US$467.0 million in cash and equivalents at June 30. It also held US$330 million in short-term investments at that date.

Immediately before closing, subsidiary CGM B.V. waived all its contractual closing conditions, according to Thursday’s release. A seller provided additional indemnities concerning certain regulatory and environmental issues, with contractual limitations.

The acquired operation in Voorne aan Zee combines cultivation, processing, production and packaging in a 540,000-square-foot greenhouse facility. Thursday’s announcement puts annual dried-flower yield at approximately 20,000 kilograms, with sales to nearly all 69 participating coffee shops.

CanAdelaar’s annualized first-half 2026 net revenue was €41.6 million, with adjusted EBITDA of €20.1 million, according to the closing release. Those unaudited figures double the results for the six months ended June 30; they are neither full-year results nor forecasts.

The annualized adjusted EBITDA was below the €24.2 million reported for the year ended Sept. 30, 2025. Cronos attributed the decline primarily to increased competition as all licensed producers joined the fully operational pilot.

"With the completion of this transaction, we have established a meaningful and scalable platform in Europe’s largest adult-use cannabis market," Cronos chief executive Mike Gorenstein said in the release.

Dutch Supply Must Stay Inside The Pilot

The experiment operates under the Controlled Cannabis Supply Chain Experiment Decree, BWBR0043738, identified in the Dutch government’s programme description. Its experimental phase began April 7, 2025 and runs for four years, with a possible extension of up to 18 months.

Cronos says the framework prohibits cannabis imports, exports and sales between licensed producers. Products can go only to coffee shops in the 10 participating municipalities, limiting the acquired operation’s immediate addressable market.

Other Canadian producers are combining European expansion with changes to their operating networks. Organigram Global Inc. TSEOGI NASDAQOGI said on Oct. 15 that Sanity Group’s integration was complete, targeting C$8 million to C$10 million in annualized savings, with the full benefit expected in fiscal 2028.

Tilray Brands, Inc. NASDAQTLRY TSETLRY said on Oct. 13 that Portugal’s INFARMED authorized microbiological and chemical/physical testing inside its Cantanhede medical cannabis facility. Tilray expects faster batch releases and lower testing costs, without quantifying the savings.

The next contractual measurement is CanAdelaar’s 2026 Normalized EBITDA, which will determine the first cash earnout. A second payment will be calculated from its 2027 result.
